AI Musician is part of The “Application Services” (the “Service”) shall mean the online, mobile applications . A “usage” shall mean a specified amount of tied to each transaction-complete event. If you disagree with any part of the terms then you do not have permission to access the Service.

Some parts of the Service are billed on In App Purchase product. You will be billed based on times of use multiplied by fee. You can buy the coin (a type of token to use function) in App. When you use the function such as generate a song, it will consume some coins.If you have not enough ,you can not use these functions. But you could access the product you have generated. A valid payment method, including credit card, is required to process the payment. You shall provide Chengxian with accurate and complete billing information including full name, address, state, zip code, and a valid payment method information. By submitting such payment information, you automatically authorize Chengxian to charge all usage fees incurred through your account to any such payment instruments.

Chengxian may, at its sole discretion, offer a free trial for a limited period of time (“Free Trial”).You may be required to enter your billing information in order to sign up for the Free Trial. If you do enter your billing information when signing up for the Free Trial, you will not be charged by Chengxian until the Free Trial has expired. On the last day of the Free Trial period, unless you cancel, you will be automatically charged for the applicable usage fees. At any time and without notice, Chengxian reserves the right to Modify the terms and conditions of the Free Trial offer Cancel such Free Trial offer

Chengxian, in its sole discretion and at any time, may modify the usage fees. Any usage fee change will become effective immediately, we will show the price in App. You will check the price before paying.

Certain refund requests for Subscriptions may be considered by Chengxian on a case-by-case basis and granted in sole discretion of Chengxian.

When you create an account with us, you guarantee that you are above the age of 18, and that the information you provide us is accurate, complete, and current at all times. Inaccurate, incomplete, or obsolete information may result in the immediate termination of your account on the Service. Chengxian shall hold Customer harmless from liability to third parties resulting from infringement by the Service of any United States patent or any copyright or misappropriation of any trade secret, provided Chengxian is promptly notified of any and all threats, claims and proceedings related thereto and given reasonable assistance and the opportunity to assume sole control over defense and settlement; Chengxian will not be responsible for any settlement it does not approve in writing. The foregoing obligations do not apply with respect to portions or components of the Service (i) not supplied by Chengxian, (ii) made in whole or in part in accordance with Customer specifications, (iii) that are modified after delivery, (iv) combined with other products, processes or materials where the alleged infringement relates to such combination, (v) where Customer continues allegedly infringing activity after being notified thereof or after being informed of modifications that would have avoided the alleged infringement, or (vi) where Customer’s use of the Service is not strictly in accordance with this Agreement. If, due to a claim of infringement, the Services are held by a court of competent jurisdiction to be or are believed by Chengxian to be infringing, Chengxian may, at its option and expense (a) replace or modify the Service to be non-infringing provided that such modification or replacement contains substantially similar features and functionality, (b) obtain for Customer a license to continue using the Service, or (c) if neither of the foregoing is commercially practicable, terminate this Agreement and Customer’s rights hereunder.

In no event shall Chengxian, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

Your use of the Service is at your sole risk. The Service is provided on an “AS IS” and “AS AVAILABLE” basis. Some jurisdictions do not allow the exclusion of certain warranties or the exclusion or limitation of liability for consequential or incidental damages, so the limitations above may not apply to you.

These Terms shall be governed and construed in accordance with the laws of China, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements we might have had between us regarding the Service.

The Synthetic Voice Service of this App is provided solely for your personal, non-commercial use in activities such as learning, research, and entertainment.You are expressly prohibited from using the Synthetic Voice Service or any audio output generated thereby ("Synthetic Content") for any direct or indirect commercial purpose, including, but not limited to: Selling, licensing, or otherwise providing access to the Synthetic Content to third parties; Incorporating Synthetic Content into or using it for the creation of any product, service, or content (including, but not limited to, advertisements, marketing materials, podcasts, audiobooks, video narration, virtual assistants, telemarketing, game character voices, customer service) that is sold, offered via subscription, or otherwise monetized (including through advertising revenue); Using Synthetic Content for any commercial public performance, broadcast, or dissemination; Using Synthetic Content in any activity that may constitute fraud, misrepresentation, identity theft, defamation, or infringement of the rights of publicity or privacy of others (including public figures); Using Synthetic Content on behalf of any company, organization, product, or service (whether profit or non-profit), or in any manner that implies endorsement or affiliation by the source of the voice.

YOU UNDERSTAND AND EXPRESSLY AGREE THAT ANY USE OF SYNTHETIC CONTENT FOR COMMERCIAL PURPOSES, FRAUDULENT ACTIVITY, OR INFRINGING CONDUCT IN VIOLATION OF THIS SECTION CONSTITUTES A MATERIAL BREACH OF THIS AGREEMENT. SUCH USE MAY INFRINGE THIRD-PARTY RIGHTS (SUCH AS COPYRIGHTS, TRADEMARKS, RIGHTS OF PUBLICITY) AND MAY VIOLATE U.S. FEDERAL AND STATE LAWS (INCLUDING THE COPYRIGHT ACT, THE LANHAM ACT, AND STATE STATUTES SUCH AS CALIFORNIA CIVIL CODE § 3344 REGARDING RIGHTS OF PUBLICITY) AND FTC REGULATIONS GOVERNING DECEPTIVE ADVERTISING. When you share, disseminate, distribute, or otherwise publicly display audio content generated using the App's Synthetic Voice Service ("Synthetic Content") outside of this App,YOU MUST CLEARLY AND CONSPICUOUSLY DISCLOSE that such audio is "AI-Generated," "Synthesized with AI Voice," or "Artificial Intelligence Voice" (or a substantially similar, easily understandable phrase such as "Synthesized with AI") within the Synthetic Content itself or in its immediate accompanying description/metadata/context.

Method of Disclosure:

The disclosure must be presented in a manner that is readily noticeable and understandable to the general public or target audience consuming or encountering the Synthetic Content during normal use. It must not be hidden or obscured. Examples include: Adding a clear audio statement at the beginning or end of a podcast, video, or audiobook containing Synthetic Content. Placing a prominent text label in social media posts, articles, product pages, or similar materials featuring Synthetic Content. Providing a clear explanation within the initial interaction or introduction of an interactive service (e.g., chatbot, voice assistant) that uses Synthetic Content.

YOU UNDERSTAND AND EXPRESSLY AGREE THAT FAILURE TO CLEARLY AND CONSPICUOUSLY LABEL SYNTHETIC CONTENT AS "AI-GENERATED" OR ITS SUBSTANTIAL EQUIVALENT AS REQUIRED BY THIS SECTION MAY RESULT IN MISLEADING LISTENERS OR RECIPIENTS REGARDING THE SOURCE OF THE VOICE (E.G., CAUSING THEM TO BELIEVE IT IS A NATURAL HUMAN VOICE, OR SPECIFICALLY AUTHORIZED BY A CELEBRITY/INSTITUTION).Such misunderstanding may cause deception, harm to third-party rights (such as reputation or goodwill), legal disputes (including claims under the Lanham Act for false advertising or false endorsement, or under state deceptive trade practices acts), or other wide-ranging negative consequences. YOU SHALL BE SOLELY RESPONSIBLE AND LIABLE FOR ANY AND ALL LIABILITIES, CLAIMS, DAMAGES, COSTS (INCLUDING REASONABLE ATTORNEYS' FEES), AND ANY OTHER ADVERSE CONSEQUENCES ARISING FROM OR RELATED TO YOUR FAILURE TO PROPERLY DISCLOSE THE AI-GENERATED NATURE OF THE SYNTHETIC CONTENT.The App and its provider(s) disclaim all liability related to such user conduct and its consequences.
